Legal Terms of Service

Welcome to Blackwell Education LLC!

Blackwell Education LLC (“Blackwell Education LLC,” “we,” “us,” “our”) provides its services through online websites. Each Site (the “Site”) and associated mobile applications and related services are covered via our Terms of Service (which can be amended from time to time, the “Terms of Service”). Code Knights (“Code Knights”), a division of Blackwell Education LLC, is one Site administered by Blackwell Education LLC. We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time.

Read these Terms of Service carefully, as they contain an agreement to arbitrate and other important information regarding your remedies, obligations, and legal rights. The agreement to arbitrate requires (with limited exception) that you submit claims you have against us to binding and final arbitration, and further (1) you will only be permitted to pursue claims against Blackwell Education LLC on an individual basis and not as a class member or plaintiff in any class or representative action or proceeding, and (2) you will only be permitted to seek relief on an individual basis.

Blackwell Education LLC maintains an online marketplace and platform which Teachers may use to offer Classes and Tutoring Sessions for sale to Parents for the benefit of their Children. While Blackwell Education LLC seeks to maintain high standards of service, you acknowledge that: (1) Blackwell Education LLC is not a party to any agreements entered into between Teachers and Parents, (2) Blackwell Education LLC only provides certain tools to facilitate the purchase, sale and operation of Classes, and (3) Blackwell Education LLC disclaims all liability for the conduct of Teachers, Parents, or any other Users on the Site or Classes.

Key Terms

“You” “your” or “user” indicates a person, organization or entity using the Services, including Parents and Teachers.

“Parent(s)” refers to a parent or legal guardian who registers on the Site for the purpose of enrolling their child.

“Teacher(s)” indicates a person who uses the Site to conduct Classes on the Site.

“Class(es)” means any online class(es) submitted by a Teacher for sale on the Site.

Access and Use of Service

  • Description of Services: Blackwell Education LLC is an online marketplace for K-12 classes. Parents may find and book Classes on behalf of their Student. Teachers market, sell, and conduct Classes on sites hosted by Blackwell Education LLC.
  • Registration Obligations: You will be required to register with Blackwell Education LLC or its division Code Knights on behalf of your Student. You must be of legal age to form a binding contract. Students who are not yet age 18 that desire to take Classes must have a Parent read these Terms of Service. The Parent must agree to these Terms of Service.
  • Member Account Security: You are responsible for maintaining, using, and keeping confidential your account and password.
  • Class Recordings: Blackwell Education LLC reserves the right to record Classes. These recordings will be used in a limited manner. The recordings may be accessible to other registered Students for that course.

Code of Conduct

To promote a positive learning environment, all Students and Parents will be held to this Code of Conduct. Failure to comply with this Code of Conduct or engaging in actions or attitudes that seem to be harmful to the atmosphere, other Students, or Teachers, in the opinion of Blackwell Education LLC can lead to removal from a Class or Classes. Blackwell Education LLC reserves the right to dismiss students from a Class and prevent a student from attending additional Classes without any prior warning for (1) violating any of the terms of this Code of Conduct, or (2) if Blackwell Education LLC determines that a Class is not suitable and/or a productive environment for a Student (this includes sufficient English language skills to participate in the Class; participation in Classes requires a high level of English understanding). Blackwell Education LLC is not required to give refunds for Students dismissed for failure by either the Student or Parent to abide by the Code of Conduct, or if a Class is determined not to be suitable for a Student.

  • Students and Parents may NEVER:

  1. Bully, intimidate, disrupt, or harass others.

  2. Use inappropriate language.

  3. View, display or post any inappropriate material during a Class.

  4. Share Class information (including lesson plans, curriculum materials, etc.) with third parties, unless given written permission by Blackwell Education LLC.

  5. Impersonate another person.

  6. Contact Teachers outside the Class.

  • Students also may NEVER:

  1. Engage in internet hacking.

  2. Use false information to create an account.

  3. Share personal information with Teachers or other Students.

  4. Create or share video or audio recordings of Teachers or other Students unless given written permission by Blackwell Education LLC.

  • Students and Parents MUST:

  1. Follow directions/instructions by authorized Teachers.

  2. When online, ensure that the Student is an an appropriate setting.

  3. Be appropriately dressed during the Class.

  4. Only share material that is related to lessons.


Age Policy

Blackwell Education LLC offers Classes to various age groups. Any group Classes recommended for ages 18 or younger will be restricted to students ages 18 and younger. The Teacher is allowed to ask participants to activate their webcam for a visual confirmation of Student identity.


Payment Policy

  1. By agreeing to a Subscription, you are authorizing Blackwell Education LLC to auto charge the credit card on file as agreed at the time of purchase.

  2. Subscription and other payments are due in the amounts and on the dates established and set forth during the registration process.

  3. Subscriptions may be canceled online in your account at any time the day prior to the renewal date. Once a subscription renews, Blackwell Education LLC is not required to provide a full or prorated refund.


General Releases

  1. Media Release: As a condition of participation, you authorize Blackwell Education LLC and its partners to take photos, videos, images, audio, and testimonials of you and your Student(s). These images, testimonials, photos, videos, and audio may be shared and used by corporate partners, the media, or other organizations that work with Blackwell Education LLC. You agree that all images, testimonials, photos, video, and audio taken at or in connection with Blackwell Education LLC are the sole and exclusive property of Blackwell Education LLC, and that Blackwell Education LLC has a royalty-free, perpetual license to use copies of all student work and projects created in Classes. You understand that Blackwell Education LLC, its owners, agents, partners, and employees will not be held liable for damages and injuries associated with use of any content released herein, including any and all claims based on negligence.

  2. Name and Likeness Release: As a condition of participation, you authorize Blackwell Education LLC and the press to use your Student’s full name and likeness in print, radio, TV, and other mediums.

  3. Project/Hardware Release: Some Blackwell Education LLC Classes are project-based. In such instances, Blackwell Education LLC will attempt to provide your Student with the knowledge to produce a working project. Specific items may be suggested for your purchase to accomplish the project. You agree to hold harmless Blackwell Education LLC for any difficulties sustained by the purchase and use of project related materials, including injury to your Student or others.


Notification Regarding Certifications

Students may be awarded certificates upon completion of specified educational units. Blackwell Education LLC makes no claims upon transferability of these certificates. Determinations regarding the recognition, use, or validation of achieved certificates outside Blackwell Education LLC depend upon the individual business, educational institution, or other organization. 


Right to Modify, Alter, or Close Classes, Subscriptions, or Camps

Blackwell Education LLC retains the right to modify, alter, or close classes, subscriptions, or camps as it deems appropriate. A change to a class, subscription, or camp may result in an opportunity for the Parent to select an alternative class, subscription, or camps to be substituted as appropriate for the Student. In the case of insufficient enrollment, Blackwell Education LLC retains the right to close that class, subscription, or camp. The Parent will be notified of such closure.


Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BLACKWELL EDUCATION LLC MAKES NO WARRANTY THAT (I) THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE, (II) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED WILL MEET YOUR EXPECTATIONS, OR (III) THE SERVICE WILL MEET YOUR REQUIREMENTS.
